تنشأ الشركة التجارية من أجل بلوغ الأهداف التي يعجز الفرد عن تحقيقها بمفرده لكن طول الحياة الشركة قد تقع عوائق أو أحداث تحول دون استمرارها لسبب توفر احدى الاسباب التي تستلزم انقضاء الشركات التجارية وهذه الأسباب قد تكون عامة أو خاصة. ويلزم القانون بشهر هذا الانقضاء الذي بفضله يتمكن الغير من معرفة وضعية الشركة. وانقضاء الشركات التجارية يتبع بإجراء وجوبي يتمثل في التصفية إذ يتعين تصفية الشركات المنقضية لتسوية وضعيتها من طرف المصفي وهذا الإجراء يقضي بقاء الشخصية المعنية للشركة في طور التصفية، ومتى انتهت العملية وحدد صافي أموال الشركة، تتم عملية القسمة بين الشركاء والتي تكون إما بطريقة ودية أو قضائية . Abstract The commercial companyisestablished in order to achieve goals that the individualcannotachieve on hisown, but throughout the life of the company, obstacles or eventsmayoccurthatpreventits continuation due to the availability of one of the reasonsthatnecessitate the termination of commercial companies, and thesereasonsmaybe public or private. The law obliges the declaration of thisexpiry, thanks to whichthird parties can know the status of the company. The termination of commercial companiesisfollowed by a mandatoryprocedurerepresented in liquidation, as the liquidatedcompanies must beliquidated in order to settletheirstatus by the liquidator, and thisprocedurerequiresthat the concernedpersonality of the companyremain in the process of liquidation, and when the processis over and the company’s net funds are determined, the division processtakes place between the partners, whichiseither in an amicable or judicialmanner .
