ارتكزت الدراسة في موضوع النظام القانوني لشركة التوصية البسيطة في التشريع الجزائري على فصلين أساسيين: جاء الفصل الأول بعنوان الإطار المفاهيمي لشركة التوصية البسيطة، والذي بدوره ينقسم على مطلبين، الأول خصصناه لمفهوم شركة التوصية البسيطة حيث أبرزنا فيه تطورها التاريخي، تعريفها، وأهميتها، وفي المطلب الثاني تناولنا خصائص شركة التوصية البسيطة، أما المبحث الثاني فقد جاء بعنوان تأسيس شركة التوصية البسيطة، حيث تطرقنا في المطلب الأول لتكوين عقد الشركة وتطرقنا في للأركان الموضوعية والشكلية، والمطلب الثاني بعنوان المركز القانوني للشركة. وجاء الفصل الثاني بعنوان الأحكام المتعلقة بتسيير شركة التوصية البسيطة والذي قسمناه إلى مبحثين، تضمن المبحث الأول نشاط الشركة حيث استعرضنا فيه إدارة الشركة والنطاق القانوني لإدارة الشريك الموصي، والمبحث الثاني جاء بعنوان انقضاء الشركة وأثارها، حيث تطرقنا إلى أسباب انقضائها كمطلب أول والآثار المترتبة عليها كمطلب ثاني. الكلمات المفتاحية: مسؤولية الشريك المتضامن، مسؤولية الشريك الموصي، الحظر على الشريك الموصي القيام بأعمال الإدارة. Abstract The study on the subject of the legal system of a limited partnership in Algerian legislation was based on two basic chapters: The first chapter was entitled the conceptual framework of the limited partnership, which in turn is divided into two requirements, the first we devoted to the concept of a limited partnership where we highlighted its historical development, definition, and importance, and in the second requirement we dealt with the characteristics of the limited partnership company, while the second section was entitled the establishment of a limited partnership company, where we touched on the first requirement to form the company's contract and touched on the substantive and formal elements, and the second requirement Entitled the legal status of the company. The second chapter entitled the provisions related to the management of the limited partnership company, which we divided into two sections, the first section included the company's activity, where we reviewed the company's management and the legal scope of the management of the limited partner, and the second section came under the title of the expiration of the company and its effects, where we touched on the reasons for its expiry as a first requirement and the implications of it as a second requirement.
