شركة المساهمة البسيطة في التشريع الجزائري هي شكل من أشكال الشركات التجارية المستحدثة بالتعديل القانوني 22/09 التي تنقسم إلى أسهم، ويكون فيها كل مساهم مسؤولًا في حدود حصته فقط، وهي تتكون من سبعة مساهمين على الأقل. ينظمها الأمر 75-59 المعدل والمتمم، ولا يقل رأسمالها عن خمسة ملايين دينار جزائري إذا لم تلجأ إلى الاكتتاب العام، وعشرة ملايين دينار إذا لجأت إليه. تتميز بسهولة تداول الأسهم، وتدار إما من قبل مجلس إدارة ومدير عام، أو من خلال مجلس مراقبة ومديرية، وتخضع للرقابة من قبل مفتشي الحسابات. تشترط في تأسيسها إجراءات دقيقة كتحرير النظام الأساسي، وتقييم الحصص العينية، والإشهار القانوني، وتفتح آفاقًا واسعة لتمويل المشاريع الكبرى، مما يجعلها أداة مهمة في الاقتصاد الوطني، رغم ما تتطلبه من صرامة تنظيمية وقانونية. Abstract: The simplified joint-stock company in Algerian legislationis a form of commercial companyintroduced by legalamendment 22/09. It isdividedintoshares, and eachshareholderis liable only up to the amount of their contribution. The company must becomposed of at least sevenshareholders. It isgoverned by Ordinance 75-59, as amended and supplemented. Itsshare capital must not belessthan five million Algerian dinars if itdoes not resort to public subscription, and ten million dinars if itdoes. This type of companyischaracterized by the ease of sharetransferability and canbemanagedeither by a board of directors and a general manager or by a supervisoryboard and a management board. It issubject to oversight by statutoryauditors. Its establishment requirespreciseprocedures, such as drafting the articles of association, valuing in-kind contributions, and legalpublicity. The simplified joint-stock companyoffersbroadopportunities for financing large projects, makingit an important tool in the national economy, despite the strict organizational and legalrequirementsitentails.
