للشركات التجارية أهمية بالغة وخاصة في اقتصاد وتنمية الدول، لذا يكتسي بطلانها طبيعة خاصة تختلف عن البطلان في العقود الأخرى، كما أن الخصوصية تتجلى في توسيع إجراءات تصحيحه وترقيعه لتفادي التصريح بالبطلان، لذا وضع المشرع نظام دعوى البطلان لجبر الضرر الحاصل جراء وجود عيب في الشركة، كما اعتمد على نظرية الشركة الفعلية والتي هي نتاج الاجتهاد القضائي، بالإضافة إلى أنه أقر التصفية والتقسيم لحماية الشركاء والغير المتعاقد مع الشركة، وحفاظا على المراكز القانونية. الكلمات المفتاحية: الشركات التجارية، البطلان، الشركة الفعلية، التصفية.
