آليات مكافحة جريمة الإستعمال التعسفي لأموال الشركة

Abstract

لقد تطرقنا في دراستنا إلى جريمة الإستعمال التعسفي لأموال الشركة، والتي يعتبر من بين إحدى الجرائم الحديثة نسبيا التي عرفتها الشركات التجارية، حيث برزت خطورة هذه الجريمة عليها وبالتالي على اقتصاديات نمو البلدان على حد سواء، وذلك من خلال الآثار السلبية التي ازدادت من جراء تزايد ارتكاب هذه الجريمة، لهاذا أعطى لها المشرع أهمية كبيرة من خلال وضع القواعد الموضوعية والإجرائية لها، وجعل عدّة آليات لقمعها، وتقوم هذه الجريمة على ركنين هما: ركن مادي، وهو استعمال المسير لأموال الشركة إستعمالا مخالفا لمصلحتها، وركن معنوي، وهو سوء النية من أجل الوصول إلى غايات شخصية. وما يمكن ملاحظته من خلال النصوص المتعلقة بجريمة الإستعمال التعسفي لأموال الشركة هو أن مجال هذه الأخيرة قد جاء محصورا ومقتصراً فقط على نوعين من الشركات، وهي الشركة ذات المسؤولية المحدودة وشركة المساهمة دون أن يتعداها إلى غيرها من الشركات التجارية سواء كانت شركات أشخاص أو أموال أو شركات مدنية. ومن أجل حماية الشركة والمساهمين أو الشركاء وغير المتعاقدين معها من المسير، فرض المشرع الجزائري عدّة عقوبات جزائية ومدنية للتصدي لها. الكلمات المفتاحية: جريمة، إستعمال، التعسف، الشركة، العقوبات، الدعوى. ملخص المذكرة باللغة الإنجليزية In ourstudy, wediscussed the crime of arbitrary use of companyfunds. whichis one of the relativelyrecent crimes identified by commercial companies, The seriousness of this crime has emergedboth to the country'sgrowtheconomies. through the negativeeffects of the increased commission of this crime, That iswhy the legislator has given her great importance by establishing substantive and proceduralrules. This crime isbased on twoelements: A physical corner, whichis to use the course of the company'sfundscontrary to itsinterest, and a moral corner, whichisbadfaith to reachpersonal ends. Whatcanbeseen from the texts on the crime of arbitrary use of the company'sfundsis that the latter's scope has been limited to onlytwo types of companies, namely, the limitedliabilitycompany and the shareholdingcompany, withoutextendingit to other commercial companies, whethertheybepersons, funds or civil companies. In order to protect the company, shareholders or partners and non-contractors from the process, the Algerian legislatureimposedseveralpenal and civil penalties to addressthem.
