Abstract

يُعد النظام القانوني لتصفية الشركات التجارية في التشريع الجزائري جزءًا مهمًا من القانون التجاري، يهدف إلى إنهاء الكيان القانوني للشركة بعد توقفها عن ممارسة نشاطها لأي سبب من الأسباب القانونية أو الاتفاقية. وقد نظّم المشرّع الجزائري هذه العملية عبر مراحل محددة تشمل الانحلال، تعيين المصفي، تصفية الديون وتوزيع الأصول، ثم شطب الشركة من السجل التجاري.ويبرز من خلال هذا النظام حرص المشرّع على تحقيق التوازن بين مصلحة الدائنين وحماية الشركاء، مع تحميل المصفي مسؤوليات قانونية دقيقة. ومع ذلك، تبقى الحاجة قائمة لتطوير النصوص القانونية وتعزيز الرقابة وتكوين الكفاءات لضمان تصفية شفافة وفعالة. الكلمات المفتاحية:تصفية الشركات، القانون التجاري، المصفي، انحلال الشركة، التشريع الجزائري، المسؤولية القانونية، السجل التجاري، توزيع الأصول. Abstract: The legal system governing the liquidation of commercial companies in Algerian legislation is an essential part of commercial law. It aims to formally terminate a company's legal existence after it ceases operations for any legal or contractual reason. The Algerian legislator regulates this process through defined stages, including dissolution, appointment of a liquidator, settlement of debts, distribution of assets, and finally removal from the commercial register. This system reflects the legislator's intention to balance creditor protection with shareholder rights while assigning clear legal responsibilities to the liquidator. However, there remains a need to improve the legal framework, strengthen oversight mechanisms, and enhance professional competencies to ensure a transparent and efficient liquidation process.
