نظام المحل التجاري الالكتروني

Abstract

يتناول هذا البحث دراسة المحل التجاري الإلكتروني باعتباره أحد المستجدات التي فرضها تطور التجارة عبر الإنترنت، وما نتج عنها من ضرورة تكييف القواعد القانونية التقليدية لمواكبة الواقع الرقمي. وقد ركزت الدراسة في فصلها الأول على تحديد مفهوم المحل التجاري الإلكتروني، وبيان خصائصه، وتمييزه عن المفاهيم المشابهة كالموقع الإلكتروني والمتجر الرقمي. كما تناولت الطبيعة القانونية لهذا المحل وفق النظريات الفقهية، مع تحليل مكوناته التقليدية والحديثة، خاصة العناصر الرقمية مثل اسم النطاق وعقد الإيواء. أما الفصل الثاني، فقد خُصص لدراسة التصرفات القانونية التي يمكن أن ترد على هذا المحل، من بيع وتقديم كحصة في شركة، أو استغلاله عن طريق التسيير أو الرهن. وخلصت المذكرة إلى أن المحل التجاري الإلكتروني يتطلب حماية قانونية خاصة تتلاءم مع خصوصياته الرقمية، وضرورة تطوير التشريعات الوطنية، وعلى رأسها القانون التجاري الجزائري، بما يكفل الأمن القانوني للمستثمرين في البيئة الإلكترونية. الكلمات المفتاحية: المحل التجاري الالكتروني، التصرفات القانونية Abstract: This research focuses on the study of the electronic commercial establishment as one of the emerging concepts resulting from the rapid development of online commerce, which necessitates adapting traditional legal rules to the digital reality. The first chapter defines the electronic commercial establishment, highlights its characteristics, and distinguishes it from similar concepts such as websites and digital stores. It also examines its legal nature according to different legal theories, and analyzes its components, both traditional and modern, with particular emphasis on digital elements such as domain names and hosting contracts. The second chapter is dedicated to studying the legal transactions related to the electronic commercial establishment, including sale, contribution to a company, or its exploitation through leasing or mortgage. The study concludes that the electronic commercial establishment requires specific legal protection adapted to its digital nature, and stresses the need to modernize national legislation—particularly Algerian commercial law—in order to ensure legal security for investors in the digital environment.
