الشركة ذات المسؤولية المحدودة نشأة في ألمانيا ثم انتشرت في أوروبا، وقد عرفت هذه الشركة نجاحا كبيرا منذ ظهورها في الجزائر، فهي شركة تجمع بين خصائص شركات الأموال و شركات الأشخاص، وهي من المؤسسات الصغيرة و المتوسطة، وقد أخذت رواجا كبيرا في الحياة الاقتصادية و الاجتماعية، حيث أصبحت أكثر شركة استقطابا للمستثمرين، وقد أعطى المشرع الجزائري إهتماما خاصا بها من ناحية التأسيس و التسيير و الإدارة والرقابة، فهي تتميز عن باقي الشركات بميزة أساسية حيث تكون مسؤولية الشريك بقدر حصته المقدمة في الشركة، ولا تصل لماله الشخصي. إن الخطوات التي يتم بها تأسيس الشركة ذات المسؤولية المحدودة يتطلب إتباع خطوات قانونية و تنظيمية، الهدف من هذه الخطوات هو ضمان تأسيس شركة قادرة على العمل بكفاءة و استدامة مع حماية حقوق الشركاء، و يعد التمويل من العناصر الأساسية التي تضمن استدامة الشركة ذات المسؤولية المحدودة.
