Abstract

تعد شركة المساهمة البسيطة من احدث اشكال الشركات التجارية ظهورا عبر العالم، اضافها المشرع الجزائري الى باقي انواع الشركات من خلال القانون رقم 09-22، من اهم خصائصها ان الشركاء يتمتعون بكامل الحرية في تنظيمها وتسييرها، ولا يمكن انشاؤها الا بين شركاء حاصلون على علامة مؤسسة ناشئة، كونها تمثل نموذجا جديا للتعاون بين الشركات في مجالات تطوير الافكار الابداعية والمشاريع الابتكارية القائمة على اقتصادالمعرفة من حيث طبيعتها القانونية فهي تاخذ من شركاتالاموال التي ينقسم راسمالهاالى اسهم وتتكون من شركاء لا يتحملون الخسائر الا في حدود ماقدموا من حصص، و تاخذ من شركات الاشخاص في عدم اشتراط حد ادنى لراسمال والسماح بالانضمام اليها بحصة عمل، ويبقى لشركة المساهمة البسيطة ان ترجع في عدة محطات الى احكام شركة المساهمة . الكلمات المفتاحية: شركة المساهمة البسيطة،الشركات التجارية،القانون رقم 22-09،المؤسسات الناشئةشركة المساهمة.

Abstract The simple joint-stock company is the newst form of commercial ,which has recently developed in the economic field ,it has been adoptedand listed among the exiting commercial companies by the Algerian legislator through law 09-22 . One of its most features is that its shareholders enjoy complete freedom in its organisations and management ,and the label of start-up .It represents a serious model for cooperation between companies in the areas of devloping creative ideas and innovative projects based on the knowledge economy , in terms of their nature , companies take funds from joint stock companies and from persons companies , in some cases , it adopts certain rules regulations of the joint stock-company .
