Abstract

ملخص تطرقنا في مذكرتنا لهذه الدراسة القانونية المفصلة لموضوع تقديم حقوق الملكية الصناعية كحصة في رأس مال الشركة، باعتبارها من الأموال المعنوية التي يمكن أن يكون لها قيمة اقتصادية و مالية ملموسة ، و تهدف مذكرتنا الى توضيح الاطارين المفاهيمي و القانوني الذي يسمح باستخدام هذه الحقوق كوسيلة للمساهمة في الشركات التجارية خصوصا في ظل التطور الاقتصادي على المعرفة و الابتكار ، كما أبرزنا مختلف الاشكالات العملية التي قد تنشا عن تقديم حقوق الملكية الصناعية كحصص و وضعنا بعض الاقتراحات بضرورة تحديث الاطر التشريعية و التنظيمية لتشجيع استثمار الملكية الصناعية في رأس مال الشركات . و توفير بعض الضمانات القانونية لكل من الشركة و المساهم ، مما يساهم في تعزيز مناخ الابتكار و التنمية الاقتصادية . Summary : In this detailed legal study, we address the issue of présentant industrial property rights as a share in a company's capital, as they are intangible assets that can have tangible economic and financial value. Our memorandum aims to clarify the conceptual and legal frameworks that permit the use of these rights as a means of contributing to commercial companies, particularly in light of economic development based on knowledge and innovation. We also highlight the various practical issues that may arise from presenting industrial property rights as shares and put forward some suggestions regarding the need to update the legislative and regulatory frameworks to encourage investment in industrial property in corporate capital. We also provide some legal guarantees for both the company and the shareholder, thus contributing to enhancing the climate of innovation and economic development.
