Abstract

يتميّز العقد الإلكتروني بطابعه التجاري وبكونه عقدًا عالميًا يمكن إبرامه عبر الحدود الجغرافية. إلا أن العقد الإلكتروني والعقد التقليدي لا يختلفان كون فكلاهما ينعقدان بتوافق إرادة ....في العقد، فالعقد التقليدي يتحقق بتواجد الأطراف العقد ماديا في نفس الزمان والمكان، على عكس العقد الإلكتروني الذي يتميز نوعا ....من اللامدية اي يمكن انعقاده وإبرامه بين غائبين من خلال وسيط إلكتروني حيث ويتم تبادل الإرادتين وترتيب الالتزامات تعاقديًا دون الحاجة الى اجتماع الأطراف من حيث الابرام. أما من حيث تنفيذ فهناك التزامات تقع على عاتق المورّد والمستهلك فالتزامات الأول تتمثل في تسليم السلعة أداء خدمة وتسليم الفاتورة. أما التزامات المستهلك الإلكتروني تتمثل في دفع الثمن وتسلم المبيع. ولكي يكون العقد الإلكتروني صحيحًا لا بد من قوة بتوعية ...هذا الأخير ويكون ذلك عن طريق مختف المحررات الالكترونية والتوقع الالكتروني حتى يتسنى اثباته.

Summary: An electronic contract is characterized by its commercial nature and by being a global contract that can be concluded across geographical borders. However, an electronic contract and a traditional contract are not different, as both are concluded by mutual consent. A traditional contract is achieved by the physical presence of the contracting parties at the same time and place, unlike an electronic contract, which is characterized by a kind of immateriality, meaning it can be concluded between absent parties through an electronic medium. The two parties exchange their wills and arrange their contractual obligations without the need for the parties to meet for conclusion. In terms of implementation, there are obligations on both the supplier and the consumer. The former's obligations are to deliver the goods, perform the service, and submit the invoice. The latter's obligations are to pay the price and receive the goods sold. For an electronic contract to be valid, it must be strengthened by informing the latter, and this is achieved through various electronic documents and electronic signatures to enable its validity.
