تعديل رأسمال شركة المساهمة في القانون التجاري الجزائري

Abstract

إن اشتراط المشرع الجزائري تضمين الوثائق التأسيسية لشركة المساهمة بياناً صريحاً بمقدار رأس مالها، يُجسد الأهمية المركزية التي يحتلها هذا العنصر في الكيان القانوني والمالي للشركة، بوصفه المصدر الأساسي لتمويل نشاطها. وقد أولى المشرع أهمية خاصة لاستقرار رأس المال، باعتباره يمثل الضمان العام لدائني الشركة، وهو ما يفسر حرصه على تثبيته وعدم المساس به طيلة مدة حياة الشركة. ومع ذلك، فقد أجاز القانون تعديل رأس المال، سواء بالزيادة أو التخفيض، غير أنه أحاط هذا التعديل بجملة من الشروط والإجراءات القانونية الصارمة، ضماناً لتحقيق التوازن بين مصلحة الشركة وحقوق المساهمين، من جهة، وحماية مصالح الغير المتعاملين معها، من جهة أخرى. الكلمات المفتاحية: شركات المساهمة – رأس المال – ثبات رأس المال- زيادة رأس المال – تخفيض رأس المال. باللغة الانجليزية: The requirement imposed by the Algerian legislator to include an explicit statement of the share capital in the founding documents of a joint-stock company reflects the central importance of this element in the company’s legal and financial structure, as it constitutes the primary source of financing for its activities. The legislator has placed particular emphasis on the stability of the share capital, considering it as the general guarantee for the company's creditors. This explains the legislator’s insistence on maintaining its constancy and prohibiting any interference with it throughout the company’s existence. Nevertheless, the law permits the modification of the share capital, whether by increase or reduction. However, such modification is subject to a set of strict legal conditions and procedures, intended to ensure a balance between the company’s interests and the rights of shareholders, on one hand, and to safeguard the interests of third parties dealing with the company, on the other.
