Abstract

تُعد شركة المساهمة البسيطة من بين الشركات التجارية التي أولى لها المشرع الجزائري أهمية خاصة، نظراً لكونها من أهم أنواع شركات الأموال، لما تتميز به من خصائص فريدة تجعلها تختلف عن باقي الأشكال القانونية، رغم أوجه التشابه بينها وبين شركة المساهمة التقليدية. وقد تبنّى المشرع الجزائري هذا النوع من الشركات بموجب القانون 22-09، استجابة لمتطلبات الواقع الاقتصادي الذي يهدف إلى تشجيع المؤسسات الناشئة كآلية لتحقيق التنمية المستدامة وجذب الاستثمارات في المشاريع الابتكارية. تُؤسَّس شركة المساهمة البسيطة من قبل شركاء حاصلين على علامة "مؤسسة ناشئة"، وتتميز بمرونة كبيرة سواء من حيث رأسمالها أو عدد الشركاء أو نظام إدارتها. ورغم خصوصيتها، تبقى خاضعة لأسباب الانقضاء العامة والخاصة، كما هو الشأن بالنسبة لبقية الشركات التجارية. الكلمات المفتاحية:شركة المساهمة البسيطة، القانون 22-09، المؤسسات الناشئة ، العلامة، الانقضاء.

Abstract: The Simplified Joint Stock Company (SJSC) is one of the commercial company types that the Algerian legislator has given particular importance to, as it represents a significant form of capital companies due to its unique characteristics. Although it shares similarities with the traditional joint stock company, it stands out for its legal flexibility and adaptability. The Algerian legislator adopted this form under Law No. 22-09, in response to the country’s economic needs and to support startups as tools for sustainable development and investment in innovative projects. The SJSC is established by partners who have obtained the “Startup Label”, and it is characterized by flexibility in terms of capital, number of partners, and management structure. Like other companies, it may be dissolved due to general or specific reasons.
